Terms of Service

These Terms of Service ("Terms") form a binding agreement between you and EcomBoost AI ("we", "us", "our") regarding your access to and use of ecomboostai.com and related applications, APIs, and services (the "Service"). By creating an account, connecting a store, starting a trial, or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. Who may use the Service

You must be at least 18 years old (or the age of majority where you live) and able to form a binding contract. If you use the Service on behalf of a company, you represent that you have authority to bind that company, and "you" includes that company.

The Service is offered worldwide. We do not restrict signup by country except where our payment processors or applicable law require (including sanctions). You are responsible for complying with local laws that apply to your business.

2. The Service

EcomBoost AI provides software tools that may include store analytics, AI-assisted content and recommendations, marketing helpers, and integrations with third-party platforms such as Shopify, Meta, TikTok, and Stripe. Features may change, be added, or be discontinued. We do not guarantee uninterrupted or error-free operation.

3. Accounts, security, and integrations

You are responsible for your account credentials, workspace members you invite, and all activity under your account. Keep passwords secure and notify us promptly of unauthorized use.

When you connect third-party accounts (Shopify, Meta, TikTok, etc.), you authorize us to access and use data according to the permissions you grant and those platforms' terms. You represent that you have the legal right to connect those accounts and to instruct us to read or write data (including publishing content or applying changes to your store).

4. AI outputs — your responsibility

The Service may generate text, images, campaign drafts, SEO suggestions, strategies, or other outputs using artificial intelligence. AI outputs can be inaccurate, incomplete, outdated, or inappropriate for your brand or market.

You are solely responsible for reviewing outputs before using them, publishing them, spending ad budget, changing prices, inventory, or store content, or relying on them for business decisions. We are not liable for lost sales, ad spend, compliance failures, IP claims, or other damages arising from your use of AI outputs or automated actions you approve or enable.

5. Subscriptions, trials, and billing

Paid plans are billed in US dollars (USD) via Stripe. Your bank may convert charges to local currency. Applicable taxes (VAT/GST etc.) may be added based on your billing location. Trials convert to paid plans unless canceled before the trial ends as described at checkout and in Billing settings.

Fees are generally non-refundable except as stated in our Refunds & Billing Policy or where mandatory consumer law requires otherwise. You authorize recurring charges until you cancel.

6. Acceptable use

You must follow our Acceptable Use Policy. You may not misuse the Service, violate law, infringe others' rights, or attempt unauthorized access. We may suspend or terminate accounts that breach these Terms or create risk to the Service or other users.

7. Your content and license

You retain ownership of content you upload or that originates from your connected stores ("Customer Content"). You grant us a worldwide, non-exclusive license to host, process, transmit, and display Customer Content solely to provide and improve the Service (including generating AI outputs you request).

Feedback you send us may be used freely without obligation to you.

8. Intellectual property

The Service, software, branding, and documentation are owned by EcomBoost AI and its licensors. Except for the limited rights to use the Service under these Terms, no IP rights are transferred to you.

9. Third-party services

The Service depends on third parties (Shopify, Meta, TikTok, Stripe, hosting, AI providers, etc.). Their terms and availability are outside our control. Outages, API changes, or policy changes by third parties may affect features. We are not responsible for third-party products or their acts or omissions.

10. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Service will increase revenue, ROAS, rankings, or any business metric.

11. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, EcomBoost AI AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA, GOODWILL, OR BUSINESS INTERRUPTION, EVEN IF ADVISED OF THE POSSIBILITY.

OUR TOTAL LIABILITY FOR CLAIMS ARISING OUT OF OR RELATED TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR USD $100 IF YOU HAVE NOT PAID). Some jurisdictions do not allow certain limitations; in those cases, our liability is limited to the fullest extent permitted.

12. Indemnification

You will defend and indemnify EcomBoost AI and its affiliates against claims, damages, and expenses (including reasonable attorneys' fees) arising from: (a) your Customer Content or store/ad accounts; (b) your use of AI outputs or actions applied to third-party platforms; (c) your violation of these Terms or law; or (d) disputes with your customers or end users.

13. Suspension and termination

You may stop using the Service and cancel paid plans in Billing settings (subject to the Refunds & Billing Policy). We may suspend or terminate access for breach, non-payment, legal risk, or misuse. Upon termination, your right to use the Service ends; provisions that by nature should survive (including IP, disclaimers, liability limits, and indemnity) will survive.

14. Privacy

Our Privacy Policy and Cookie Policy describe how we handle personal data.

15. Changes

We may update these Terms by posting a revised version with a new "Last updated" date. Material changes may also be communicated by email or in-product notice. Continued use after the effective date constitutes acceptance, except where mandatory law requires affirmative consent.

16. Governing law and disputes

These Terms are governed by the laws of the State of Delaware, USA, without regard to conflict-of-law rules, except that mandatory consumer protections in your country of residence continue to apply where they cannot be waived.

Before filing a claim, you agree to try to resolve disputes informally by contacting legal@ecomboostai.com. Nothing prevents either party from seeking injunctive relief for IP or unauthorized access.
